Terms of Service

Provider: Daaeonyx AI (operated by Sthiven R.), United States ("Daaeonyx AI", "we").

1. Agreement and parties

These Terms govern your use of the Daaeonyx AI service (the "Service"). By creating an account or using the Service you accept these Terms and the Acceptable Use Policy, which is part of them.

Billing is handled by our Merchant of Record (MoR). Your purchase contract for payment is with the MoR, who acts as reseller of record and handles billing, taxes, and receipts. The Service itself is provided by Daaeonyx AI under these Terms. If MoR terms conflict with these on payment matters, the MoR terms govern the payment; everything about the Service is governed here.

2. The Service

Subscription access to our LLM inference API and a customer dashboard. Capabilities and limits are described on our site and in §6.

3. Eligibility

You must be 18+ and able to form a binding contract. For business use, you bind your organization.

4. Subscription, billing and renewal

  • Plans: Monthly — flat $59.99, each paid period runs 30 days from payment. Annual — flat $575.88 (equivalent to $47.99/month, 20% off), each paid period runs 365 days from payment. Both recurring and billed by the MoR.
  • Term start: the clock starts at payment, not at activation — if you delay creating your account/key, you lose those days.
  • Auto-renewal: subscriptions renew automatically (monthly or annually, per your plan) until cancelled. You may cancel anytime from the customer portal; access continues until the end of the paid period.
  • Price changes: we may change pricing with at least 30 days' notice before your next renewal.

5. Refunds

  • Monthly: non-refundable, including partial periods, unused time, or access lost due to an AUP violation.
  • Annual — 30-day refund window: within the first 30 days of an annual purchase you may request a refund; the refund is the amount paid minus one month at the monthly rate (i.e. $575.88 − $59.99 = $515.89), since the first month is billed as if it had been the monthly plan. After 30 days the annual term is non-refundable.
  • Cancellation stops future renewals; outside the annual window it does not refund the current period. No refunds for access lost due to an AUP violation, on any plan.
  • If we discontinue the Service (provider-initiated): if we permanently shut down the Service or your plan for any reason other than your breach of these Terms or the AUP, we refund the unused, prepaid portion of your current term, prorated by time elapsed. Example: an annual subscriber who has used 3 of 12 months is refunded 9/12 of the amount paid ($575.88 − $143.97 used = $431.91). This is the one case where a prepaid annual term is refunded after the 30-day window — you never lose money for time we did not serve.

6. Acceptable use and limits

Your use is bound by the AUP. The plan is subject to technical rate limits (requests/min, tokens/min, concurrency). "Flat/unlimited" means no per-token billing — not a right to unbounded load (AUP §6). Resale or third-party provision requires our prior written authorization (AUP §7).

7. Your content, our service, and IP

  • You own your inputs and outputs. You retain all rights to the prompts you submit and the responses you receive, and you are solely responsible for them (AUP §8).
  • Zero data retention of your content. We do not store the content of your prompts or outputs, and we do not use them to train or fine-tune any model. Your content is processed only to generate your response. Operational metadata (not content) is described in the Privacy Policy.
  • We own the Service: the platform, infrastructure, software, and the Daaeonyx AI brand. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service per these Terms. The underlying models are owned by their respective publishers.

8. Availability, disclaimers, and service levels

  • The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
  • Model outputs are probabilistic and may be inaccurate, incomplete, biased, or offensive — you must review them before relying on them, and they are not professional advice.
  • No uptime guarantee on standard plans. Service-level commitments (uptime, support response times) exist only under a separate written Enterprise SLA. Standard subscriptions carry no SLA.

9. Limitation of liability

  • To the maximum extent permitted by law, Daaeonyx AI and its operator are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for any lost profits, revenue, data, goodwill, or business — even if advised of the possibility, and regardless of the form of action.
  • Our total aggregate liability for any and all claims is capped at the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
  • Some jurisdictions do not allow certain exclusions or limitations; where so, the above apply to the maximum extent permitted.

10. Indemnification

You will defend, indemnify, and hold harmless Daaeonyx AI and its operator from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your inputs or any data you submit; (b) your outputs or how you use, publish, or distribute them; (c) your use of the Service in violation of these Terms or the AUP; or (d) your violation of any law or third-party right. We will notify you of the claim and may participate in the defense with our own counsel.

11. Suspension and termination

  • We may suspend or terminate access — immediately and without notice for severe or illegal use (e.g. CSAM, active attacks), and otherwise with notice — for AUP violations, non-payment, or risk to the Service or others, without refund (§5).
  • We have no liability for any loss arising from a suspension or termination made under these Terms.
  • You may stop using the Service and cancel anytime. Sections that by their nature survive (content/IP, disclaimers, limitation of liability, indemnification, governing law) survive termination.

12. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labor disputes, power or internet failures, or failures of third-party providers (cloud, payment, or model infrastructure).

13. Changes

We may modify the Service and these Terms at any time. Material changes are posted at daaeonyxai.com with a new effective date; continued use after the effective date means acceptance. For price changes we provide at least 30 days' notice before your next renewal (§4). If a change materially and adversely affects you, your remedy is to cancel.

14. Governing law, disputes, and arbitration

  • These Terms are governed by the laws of the State of Colorado, United States (to be updated to the entity's jurisdiction upon incorporation), without regard to conflict-of-law rules.
  • Binding arbitration. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis.
  • Class-action waiver. You and Daaeonyx AI agree each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. You waive any right to a jury trial.
  • Where arbitration or the class-action waiver is held unenforceable, disputes will be resolved in the state or federal courts located in Colorado, and you consent to their jurisdiction.
